On 24 April 2024, the Annual General Meeting of UBS Group AG passed the resolution to create conversion capital in a maximum amount of USD 70,000,000 (equivalent to a maximum of 700,000,000 registered shares with a par value of USD 0.10 each). The occurrences leading to a mandatory conversion of claims arising from financial market instruments with contingent conversion features and to the issuance of registered shares, are set out in the new article 4b of the Articles of Association.
